1. Agreement to Terms
By accessing or using DaraNode ("Service," "Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you (either an individual or entity) and DaraNode.
2. Description of Service
DaraNode is a cloud-based SaaS platform that provides:
- Product management and catalog organization
- Shopify integration and synchronization
- Team collaboration with role-based access
- Bulk operations and data management
- Email signature generation
- API access for integrations
3. Account Registration
3.1 Eligibility
To use the Service, you must:
- Be at least 18 years of age (or the age of legal capacity in your EU member state)
- Have the legal capacity to enter into contracts under your national law
- Provide accurate and complete registration information as required by GDPR
- Maintain and update your account information in accordance with data accuracy principles
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your authentication codes
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Ensuring your team members comply with these Terms
3.3 Subdomain and Workspace
When you create an account, you select a unique subdomain. You may not:
- Use a subdomain that infringes on trademarks or rights of others
- Impersonate another person or entity
- Use offensive, obscene, or inappropriate names
4. Subscription Plans and Billing
4.1 Plans and Pricing
We offer multiple subscription tiers:
- Starter: €29/month or €290/year
- Professional: €99/month or €990/year
- Enterprise: €299/month or €2,990/year
Prices are subject to change with 30 days' notice.
4.2 Payment Terms
- Billing Cycle: Monthly or annual, based on your selection
- Auto-Renewal: Subscriptions auto-renew unless cancelled
- Payment Method: Credit card via Stripe (PCI-DSS compliant)
- Failed Payments: Service may be suspended after 3 failed payment attempts
4.3 Free Trial
- 14-day free trial available for new accounts
- No credit card required during trial
- Full access to features during trial period
- Clear notification before trial ends
- No automatic charging without explicit consent
4.4 Refunds and Withdrawal Rights
In accordance with EU Consumer Rights Directive (2011/83/EU):
- 14-Day Right of Withdrawal: EU consumers may withdraw from the contract within 14 days without giving reason
- Monthly subscriptions: Pro-rated refund if cancelled within first 14 days
- Annual subscriptions: Full refund within 14 days, pro-rated refund within 30 days
- Refunds processed within: 14 days as required by EU law
- Waiver of withdrawal right: By using the service during withdrawal period, you expressly request immediate performance and acknowledge loss of withdrawal right
4.5 Cancellation
You may cancel your subscription at any time through the billing dashboard or Stripe Customer Portal. Cancellation takes effect at the end of the current billing period.
5. Acceptable Use Policy
5.1 Permitted Use
You may use the Service only for lawful business purposes in accordance with these Terms.
5.2 Prohibited Activities
You must not:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of others
- Upload malicious code, viruses, or malware
- Attempt to gain unauthorized access to the Service
- Interfere with or disrupt the Service or servers
- Use the Service to send spam or unsolicited communications
- Scrape, crawl, or harvest data without permission
- Reverse engineer, decompile, or disassemble the Service
- Resell or redistribute the Service without authorization
- Use the Service to compete with us
⚠️ Warning: Violation of the Acceptable Use Policy may result in immediate account suspension or termination without refund.
6. Data and Content
6.1 Your Content
You retain all rights to the data and content you upload ("Your Content"). By using the Service, you grant us a limited license to:
- Store, process, and display Your Content
- Back up Your Content for disaster recovery
- Use Your Content to provide and improve the Service
6.2 Content Responsibility and Data Controller Obligations
You are solely responsible for:
- The accuracy and legality of Your Content under applicable EU law
- Obtaining necessary rights and permissions for Your Content
- GDPR Compliance: As data controller, you must ensure compliance with GDPR (Regulation (EU) 2016/679) for any personal data you process through our Service
- Providing appropriate privacy notices to your data subjects
- Obtaining valid legal basis for processing (consent, contract, legitimate interest, etc.)
- Backup and recovery of Your Content
- Responding to data subject access requests for data you control
6.3 Content Restrictions
Your Content must not:
- Contain illegal, harmful, or offensive material
- Infringe on copyrights, trademarks, or other rights
- Violate privacy or data protection laws
- Contain malware or malicious code
6.4 Content Removal
We reserve the right to remove any Content that violates these Terms or is reported as inappropriate.
7. Service Availability and Support
7.1 Uptime
We strive for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.
7.2 Support
- Starter: Email support (48-hour response time)
- Professional: Priority email support (24-hour response time)
- Enterprise: Priority support with dedicated account manager
7.3 Service Modifications
We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We are not liable for any modification, suspension, or discontinuation.
8. Intellectual Property
8.1 Our Rights
The Service, including its original content, features, and functionality, is owned by DaraNode and protected by copyright, trademark, and other intellectual property laws.
8.2 Trademarks
"DaraNode" and our logo are trademarks. You may not use our trademarks without prior written permission.
8.3 Feedback
If you provide feedback or suggestions, we may use them without obligation or compensation to you.
9. Data Protection and Privacy (GDPR Compliance)
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference and complies with EU GDPR (Regulation (EU) 2016/679).
9.1 Data Processing Agreement
We act as a data processor (Article 28) for Your Content containing personal data. You are the data controller and must:
- Ensure you have lawful basis for processing under GDPR Article 6
- Provide clear privacy notices to your data subjects
- Respond to data subject rights requests (access, erasure, portability, etc.)
- Maintain records of processing activities (Article 30)
9.2 Our Processor Obligations
As your data processor, we commit to:
- Process data only on your documented instructions
- Ensure confidentiality of persons processing data
- Implement appropriate security measures (Article 32)
- Assist with data subject rights requests
- Assist with data breach notifications
- Delete or return data upon termination
- Make available information to demonstrate compliance
- Use sub-processors only with your authorization
9.3 Sub-Processors
We use the following sub-processors: Render.com (hosting), Stripe (payments). You authorize use of these sub-processors. We maintain Data Processing Agreements with all sub-processors.
10. Third-Party Integrations
10.1 Shopify Integration
If you connect a Shopify store:
- You must comply with Shopify's Terms of Service
- You grant us permission to access your Shopify data
- We are not responsible for Shopify service disruptions
- You may disconnect at any time
10.2 Stripe Payment Processing
Payments are processed by Stripe. You agree to Stripe's Terms when making payments.
11. Limitation of Liability (Subject to Mandatory EU Law)
IMPORTANT: PLEASE READ CAREFULLY
To the extent permitted by applicable EU law and subject to mandatory consumer protection rights, DARA BOT shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Service interruptions or data loss (except where caused by our gross negligence or willful misconduct)
- Third-party actions or integrations
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE LAST 12 MONTHS, OR €100, WHICHEVER IS GREATER.
MANDATORY EU CONSUMER RIGHTS: Nothing in these Terms limits or excludes our liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Breach of statutory rights under EU consumer protection law
- Any liability which cannot be excluded under EU law
12. Warranties and Disclaimers (Subject to EU Consumer Law)
12.1 Service Warranties
Subject to mandatory EU consumer protection laws (including EU Consumer Rights Directive 2011/83/EU and Sale of Goods Directive), the Service is provided "as is" and "as available".
EU CONSUMERS: You have statutory rights under EU law including rights to services that are:
- As described and fit for the purpose for which services of that type are normally used
- Of satisfactory quality
- Provided with reasonable care and skill
Nothing in these Terms affects your statutory rights as an EU consumer.
12.2 Service Availability
We aim for 99.9% uptime but cannot guarantee uninterrupted service. We do not warrant that:
- The Service will be uninterrupted or error-free at all times
- All defects will be corrected immediately
- The Service is free of viruses or harmful components (though we take reasonable measures)
- Results will meet all your specific requirements
We will make reasonable efforts to resolve service issues promptly and notify you of planned maintenance.
13. Indemnification (Business Users)
If you are using the Service for business purposes (not as a consumer), you agree to indemnify, defend, and hold harmless DaraNode and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your Content and your processing of personal data
- Your breach of GDPR or other data protection obligations
EU CONSUMERS: This indemnification clause does not apply to you as a consumer under EU law.
14. Termination
14.1 Termination by You
You may terminate your account at any time by:
- Cancelling your subscription through the billing dashboard
- Contacting our support team
14.2 Termination by Us
We may suspend or terminate your account immediately if you:
- Violate these Terms
- Fail to pay subscription fees
- Engage in fraudulent or illegal activities
- Abuse or misuse the Service
14.3 Effect of Termination
- Your access to the Service will be revoked
- We may delete Your Content after 30 days
- You remain liable for any outstanding fees
- You may request a data export within 30 days
15. Dispute Resolution and Governing Law
15.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the European Union and the applicable laws of your EU member state where you are habitually resident (for consumers) or where your business is established (for business users).
15.2 Jurisdiction
For EU Consumers: You may bring legal proceedings in the courts of the EU member state where you are habitually resident. We may only bring proceedings against you in the courts of your habitual residence.
For Business Users: Disputes shall be subject to the exclusive jurisdiction of the courts of [Your EU Member State - e.g., Ireland, Germany, etc.].
15.3 Alternative Dispute Resolution (ODR)
EU consumers have access to the European Commission's Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr
We are willing to participate in alternative dispute resolution procedures before consumer arbitration boards.
15.4 Amicable Resolution

16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and DaraNode.
16.2 Modifications
We may modify these Terms with at least 30 days' notice. We will notify you of material changes by:
- Email notification to your registered address
- Prominent notice on the Service
- Updating the "Last Updated" date
EU CONSUMERS: If you do not accept the changes, you may terminate your contract within 30 days and receive a pro-rated refund. Continued use after the notice period constitutes acceptance.
16.3 Severability
If any provision of these Terms is found to be unenforceable or invalid under EU law, it shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will remain in full effect.
16.4 Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision. Any waiver must be in writing to be valid.
16.5 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms to any successor, affiliate, or in connection with a merger or acquisition, provided we notify you and your rights are not adversely affected.
16.6 Force Majeure
We are not liable for delays or failures in performance due to causes beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, labor disputes, government actions, or failures of third-party services. We will notify you promptly and make reasonable efforts to resume performance.
16.7 Language
These Terms are drafted in English. Translations may be provided for convenience, but in case of conflict, the English version shall prevail to the extent permitted by local law.

EU CONSUMERS: Nothing in these Terms affects your mandatory statutory rights under EU law.
These Terms of Service are effective as of January 10, 2026 and comply with EU law including GDPR (Regulation (EU) 2016/679) and Consumer Rights Directive (2011/83/EU).
